Add-On vs. Platform: What Kind of Acquisition Is Your Company?

Private equity firms buy companies in two ways. A platform is the first company they buy in a space to build around. Add-ons are smaller companies they buy and fold into it. Which one you are changes your price, your terms, and your role.

What Is a Platform?

A platform is the foundation of a private equity firm's investment in an industry. It needs a strong management team, solid systems, and enough scale to support growth through more acquisitions. Platforms are often discussed in the range of $3 million to $5 million or more of EBITDA, and they tend to command the highest multiples.

What Is an Add-On?

An add-on is a company the platform buys to grow: a new market, a new service line, or more customers and technicians. Add-ons are usually smaller and are often bought at lower multiples, because the platform brings the management, systems, and buying power.

Why It Matters to You

  • Price: platforms usually earn higher multiples than add-ons of the same quality.
  • Competition: more firms compete for good platforms, which can improve terms.
  • Your role: platform owners and managers often stay on to lead growth. Add-on owners may transition out sooner.

What Buyers Look for in a Platform

  • A leadership team that runs the company without the owner.
  • Recurring revenue, like service agreements and memberships.
  • Clean financial reporting and clear key performance numbers.
  • Systems that can absorb more acquisitions.
  • Enough EBITDA to justify the investment.
